Justin Mirro

Justin Mirro, our Chairman and Chief Executive Officer, provides leadership and expertise in sourcing, structuring, financing, and closing complex transactions. Mr. Mirro is the President of Kensington Capital Partners, which was formed in 1999 and is an affiliate of our sponsor. Kensington Capital Partners is a merchant bank focused on making investments and providing strategic advice to businesses in the automotive sector. Mr. Mirro has more than 25 years of experience in negotiating and structuring automotive transactions as head of automotive investment banking at RBC Capital Markets, Moelis & Company, and Jefferies & Company. Previously, Mr. Mirro worked as an engineer for General Motors in Detroit and Toyota in Japan. Mr. Mirro currently serves on the board of directors of Cooper Standard Holdings (NYSE: CPS) and Speedstar Holdings. Mr. Mirro earned his Master of Business Administration degree from New York University Leonard N. Stern School of Business and his Mechanical Engineering degree from the University of Michigan. Mr. Mirro served as the Chairman and Chief Executive Officer of Kensington SPAC I from April 2020 until it consummated its initial business combination with QuantumScape, a company that is developing next generation battery technology for EVs and other applications, in November 2020, currently serves as the lead independent director of QuantumScape and served as the Chairman and Chief Executive Officer of Kensington SPAC II from January 2021 until it consummated its business combination with Wallbox N.V., a leader in electric vehicle charging and energy management solutions, in October 2021. He has served as the Chairman and Chief Executive Officer of Kensington SPAC IV since March 2021.

John Arney

John Arney, our Vice Chairman and President, provides expertise in sourcing potential business combinations and leadership in managing the due diligence analysis of operational and management performance of these businesses. Mr. Arney has over 30 years of experience sourcing, evaluating, acquiring, owning, operating and financing businesses in the industrial, automotive, energy, business services and digital sectors. Over his career Mr Arney has led complex carve-outs, buyouts and acquisitions of companies headquartered in North America and Europe with global operations. Mr. Arney served as a Managing Director at Candover, before leading a management buy-out of the business to form Arle Capital Partners in 2011, which managed three mid-market private equity funds through to realisation before Arle was sold in 2017. Mr. Arney founded industrial holding company The Smithfield Group in 2014. Mr. Arney was a board director of Parques Reunidos and has served on a variety of industrial company boards including Pure Power Technologies, Innovia, Thule Group, Vetco International and Aibel, and is a founder and board member of both Guardian, which he chairs, and Pure Lifting Group.

Peter Goode

Dr. Peter Goode, our Chief Technology Officer, provides expertise in sourcing potential business combinations and leadership in managing the due diligence analysis of the technical and market competitive performance of these businesses. Dr. Goode has more than 40 years of experience in engineering, manufacturing and oilfield and industrial services. He is currently Chairman and co-founder of the leading U.S. onshore completions provider, GR Energy Services. He also co-founded and built Global Oilfield Services, a leadership U.S. ESP company, which was sold to Halliburton in November 2011. His other professional roles include a number of management positions with Schlumberger between 1985 and 2003 in the U.S., Indonesia and the U.K. These global roles included direct responsibility for the associated research, engineering and manufacturing activities. He also has extensive public company experience having been the Managing Director and CEO of Transfield Services between 2009 and 2013, a leading industrial services provider listed on the Australian Stock Exchange. Dr. Goode was also served as President and CEO of Vetco International Ltd., an international oilfield services company with revenue of approximately $3 billion per year and with operations in 34 countries. Early in his career he variously held positions at Santos in Australia and SOHIO Petroleum.

Julian Ameler

Julian Ameler, our Head of Business Development, provides expertise in sourcing potential business combinations and leadership in the due diligence and execution of complex transactions. Mr. Ameler has over 12 years of experience in investment banking, corporate finance and private equity across a wide range of industries. Mr. Ameler began his career in investment banking at UBS in Frankfurt and London, before joining Arle Capital Partners in 2012. After working at Arle, Mr. Ameler was a founding member of The Smithfield Group and became an Investment Director. During his time at Arle and Smithfield, Mr. Ameler has been deeply involved in private equity investing including supervision and management of portfolio companies, refinancings, restructurings, strategy, deal-sourcing, due diligence, fund raising, acquisitions and divestments and played instrumental roles in the buyouts of Innovia Group, Pure Power Technologies, Guardian and Pure Lifting Group. Mr. Ameler currently sits on the board of Pure Lifting Group and of Guardian, where he also is the Chairman of the Audit & Risk Committee.

Daniel Huber

Daniel Huber, our Chief Financial Officer, provides leadership in sourcing, tracking, and evaluating potential business combinations in addition to managing our financials. Mr. Huber has over 20 years of experience working with intermediaries and managing sophisticated databases, which he utilizes in his analysis of businesses that meet our target criteria. He has also built strong financial modelling skills as an investment banker over the last ten years that will be beneficial as we develop proposals for potential business combinations. Mr. Huber was previously a director of corporate development at Conduent (NYSE: CNDT) and an investment banker at PI Capital, CRT Capital Group, RBC Capital Markets, and Moelis & Company. Prior to this, Mr. Huber was a lieutenant in the United States Navy. Mr. Huber earned his Master of Business Administration degree from New York University Leonard N. Stern School of Business and his undergraduate degree from the United States Naval Academy. Mr. Huber served as the Chief Financial Officer and Secretary of Kensington SPAC I from April 2020 until it consummated its initial business combination in November 2020 and served as the Chief Financial Officer and Secretary of Kensington SPAC II from January 2021 until it consummated its business combination in October 2021. He has served as the Chief Financial Officer and Secretary of Kensington SPAC IV since March 2021.

Board of Directors

William E. Kassling

William E. Kassling is the former Chairman and CEO of Wabtec Corporation, having led a management group in the purchase of Wabtec Corporation from American Standard in 1990. Mr. Kassling has over 45 years of experience in leading and operating industrial businesses. In addition to Wabtec Corporation, Mr. Kassling is an experienced public and private company board member. He is currently on the board the Pittsburgh Penguins and the Crosby Group, and formerly served as a board member of Gardner Denver, Parker Hannifin Corporation, the Texas Rangers, Scientific Atlanta, Dravo, Commercial Intertech, Pacific Design Technologies, Guardian and Pure Power Technologies. He is also a member of the advisory board of the University of Pittsburgh Cancer Institute. Earlier in his career, Mr. Kassling worked at American Standard, Clark Equipment Company, The Boston Consulting Group and also served as an officer in the United States Navy.

Anders Pettersson

Anders Pettersson is the former CEO of Thule Group, one of the leading automotive aftermarket brands in the world. Under Mr. Pettersson’s leadership, he transformed Thule from an automotive aftermarket accessories business into a lifestyle consumer brand company. Mr. Pettersson brings over 35 years of experience in sourcing, evaluating and acquiring businesses throughout the world. Mr. Pettersson is the current chairman of Brink NV, the leading towing hitch business in Europe. Mr. Pettersson served as a director of Kensington SPAC I from June 2020 until it consummated its initial business combination in November 2020 and served as a director of Kensington SPAC II from February 2021 until it consummated its initial business combination in October 2021. Mr. Pettersson is Chairman of Wallbox N.V., a provider of EV charging solutions. He is also a director of Kensington SPAC IV.

Mitchell Quain

Mitchell Quain is an experienced investor and board member of multiple public companies serving the automotive and broader industrial segments. Mr. Quain has over 45 years of experience evaluating companies, initially as an equity research analyst at Schroders and more recently as a partner One Equity Partners, a senior advisor at Carlyle Group, and a member of the executive council at American Securities. Mr. Quain is currently on the boards of AstroNova, Digirad Corp and Jason Industries. Mr. Quain served as a director of Kensington SPAC I from June 2020 until it consummated its initial business combination in November 2020 and served as a director of Kensington SPAC II from February 2021 until it consummated its business combination in October 2021. He is also a director of Kensington SPAC IV.

Mark Robertshaw

Mark Robertshaw, is the former CEO of Morgan Advanced Materials, a global industrial manufacturer, and Innovia, a leading provider of specialty polymer products and the world’s leading supplier of polymer bank notes. Mr. Robertshaw brings over 30 years of experience in sourcing, evaluating and acquiring industrial businesses around the world. He is currently the Chairman of InPost, the leading e-commerce enablement platform in Poland providing delivery services through its network of Automated Parcel Machines (“APMs”), and Vita Global Limited, a leading manufacturer of flexible PU foam. Previously, he was chairman of the board of marine safety business Survitec, and Non-Executive director of Segro Plc, a provider of logistics real estate buildings.

Nickolas Vande Steeg

Nickolas Vande Steeg served in a variety of roles over a 35 year career at Parker-Hannifin, a global supplier of innovative engineered products, ultimately serving as President, Chief Operating Officer and a Board Member. Mr Vande Steeg brings a wealth of operational and board experience having served as an Officer of Parker-Hannifin Corporation, Chairman at APOU, and a Director at Wabtec, Renaissance Parent Corp., Gardner Denver Holdings, Westinghouse Air Brake Technologies Corporation, Insituform Technologies and Director and partial owner of Pacific Design Technologies. He also has served as a Trustee of Azusa Pacific University and serves as a Director of Urban Youth Workers International.
